NOVEL PANEL TERMS OF SERVICE

Welcome to Novel Panel (novelpanel.com, the “Site”), owned and operated by Novel Panel (“Novel Panel,” “we,” “us,” “our”). These Terms of Service (“Terms”) are a legally binding agreement between you and Novel Panel.
By visiting the Site, creating an account, making a purchase, or posting a review, you agree to be bound by these Terms. If you do not agree, do not use the Site.
BY AGREEING TO THESE TERMS, YOU AGREE TO THE DISPUTE RESOLUTION PROVISIONS IN SECTION 15, INCLUDING MANDATORY INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER.
1. License and Restrictions
Novel Panel grants you a limited, nonexclusive, revocable license to access and make personal, noncommercial use of the Site. You may link to the Site provided that the link does not portray Novel Panel or its products in a false, misleading, or derogatory manner.
You may not:
(a) copy, reproduce, modify, resell, or create derivative works from the Site or its content;
(b) use the Site for any commercial purpose without our prior written consent;
(c) use any robot, spider, scraper, or other automated means to access or index the Site for any purpose;
(d) interfere with the proper operation of the Site or bypass measures used to restrict access;
(e) frame or enclose any Novel Panel trademark, logo, or content;
(f) use the Novel Panel name or marks in meta tags or hidden text; or
(g) compile, repackage, or distribute data extracted from the Site.
Any unauthorized use terminates the license granted under these Terms.
2. Trademarks
The Novel Panel name, logo, wordmark, tagline, trade dress, and related brand elements are the property of Novel Panel.
They may not be used without our prior written consent, in connection with any product or service not offered by Novel Panel, in any manner likely to cause confusion, or in any manner that disparages Novel Panel.
3. Site Content
The Site contains text, graphics, photographs, illustrations, cover images, and other content protected by copyright, trademark, and other proprietary rights.
You may not modify, publish, transmit, sell, reproduce, distribute, or otherwise exploit Site content except as permitted for personal use or under the fair-use provisions of United States copyright law, including 17 U.S.C. § 107.
Product descriptions, cover images, publication information, and publisher metadata may be supplied by publishers, distributors, authors, and third-party data providers. Novel Panel does not warrant that this information is accurate, complete, current, or error-free.
If you purchase an item that is materially different from its description, your sole and exclusive remedy is to return it in accordance with Section 7 and the Novel Panel Return and Refund Policy.
4. Pricing
Prices are subject to change without notice. The price displayed in your cart may differ from the price available at checkout.
If an item is incorrectly priced on the Site and the correct price is higher than the displayed price, Novel Panel may, at its sole discretion:
(a) contact you for instructions before shipping;
(b) cancel the order and notify you; or
(c) fulfill the order at the incorrectly displayed price.
5. Orders and Payment
Your order constitutes an offer to purchase. An order-confirmation email acknowledges receipt of your order but does not constitute acceptance.
Acceptance occurs when the item ships. Novel Panel may cancel an order before shipment for any lawful reason, including pricing errors, inventory unavailability, payment issues, suspected fraud, or inability to fulfill the order.
If an order is canceled after payment has been processed, the applicable charge will be refunded.
You represent that the payment information you provide is accurate and that you are authorized to use the selected payment method.
6. Shipping and Risk of Loss
Risk of loss and title for purchased items pass to you when the items are delivered to the carrier, except where applicable law requires otherwise.
Shipping and delivery dates are estimates and are not guaranteed. Novel Panel is not responsible for delays caused by carriers, weather, service interruptions, incorrect delivery information, or circumstances beyond our reasonable control.
7. Returns
Eligible items may be returned within 14 days of delivery in unused, unread, and resalable condition for a refund of the purchase price.
Original shipping charges are non-refundable except when an item arrives damaged, defective, or incorrect.
To initiate a return, contact hello@novelpanel.com before shipping the item. Additional requirements and procedures are provided in the Novel Panel Return and Refund Policy, which is incorporated into these Terms.
8. Eligibility
You must be at least 18 years old to make a purchase or create an account.
Individuals under the age of 18 may use the Site only under the supervision of a parent or legal guardian who accepts these Terms on their behalf and assumes responsibility for their use of the Site.
Novel Panel does not knowingly collect personal information from children under 16. If we learn that we have collected such information, we will take reasonable steps to delete it.
9. Accounts and Security
You are responsible for:
(a) maintaining the confidentiality of your account credentials;
(b) preventing unauthorized access to your account and devices;
(c) maintaining a current and accurate email address; and
(d) all activity occurring through your account, whether or not you personally authorized that activity.
You must promptly notify Novel Panel if you believe your account has been accessed or used without authorization.
10. Product Reviews and User Content
The Site may allow users to post product reviews, comments, photographs, or other materials collectively referred to as “User Content.”
You may not submit User Content that:
(a) is unlawful, harmful, threatening, defamatory, obscene, hateful, discriminatory, or harassing;
(b) infringes any copyright, trademark, privacy, publicity, or other right;
(c) contains advertising, promotional material, spam, or unauthorized solicitations;
(d) discloses another person’s private or personal information without authorization;
(e) contains malware, malicious code, or harmful technology; or
(f) is false, misleading, or unrelated to the product or service being reviewed.
You may submit only User Content that you own or are expressly authorized to distribute.
By submitting User Content, you grant Novel Panel a royalty-free, perpetual, irrevocable, nonexclusive, sublicensable, transferable, worldwide license to use, reproduce, display, publish, modify, adapt, translate, distribute, and create derivative works from that content in any form or media.
Novel Panel has no obligation to monitor User Content. We may reject, edit, remove, or restrict access to User Content or review features at any time, for any reason, without notice or liability.
Opinions expressed in product reviews are those of their authors and do not necessarily represent the views of Novel Panel.
11. Suspension and Termination
Novel Panel may warn, suspend, restrict, or terminate your access to the Site or your account without notice if:
(a) you violate these Terms;
(b) your conduct appears unlawful, fraudulent, abusive, or harmful;
(c) your use creates risk or potential legal exposure for Novel Panel or another person; or
(d) termination is reasonably necessary to protect the Site, Novel Panel, its customers, or third parties.
Provisions that by their nature should survive termination will remain in effect after termination, including provisions concerning intellectual property, User Content licenses, indemnification, disclaimers, limitations of liability, and dispute resolution.
12. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Novel Panel and its owners, officers, directors, employees, contractors, agents, affiliates, and suppliers from claims, losses, damages, liabilities, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
(a) your use of the Site;
(b) your breach of these Terms;
(c) your User Content; or
(d) your violation of any law or the rights of another person.
Novel Panel reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to reasonably cooperate with that defense.
This obligation survives the termination of these Terms.
13. Electronic Communications
You consent to receive communications from Novel Panel electronically, including by email to the address associated with your account or through notices posted on the Site.
You agree that electronic communications satisfy any legal requirement that a communication, agreement, disclosure, or notice be provided in writing.
14. Disclaimers and Limitation of Liability
14.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, PRODUCTS, FEATURES, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.
NOVEL PANEL DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Novel Panel does not warrant that the Site will be uninterrupted, secure, accurate, complete, or error-free. Your use of the Site is at your sole risk.
Novel Panel is not responsible for User Content or for the content, availability, security, or practices of third-party websites linked from the Site.
14.2 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVEL PANEL WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST OR CORRUPTED DATA, DAMAGE TO REPUTATION, OR CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR OTHER INDIRECT DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
This limitation applies regardless of the legal theory asserted and even if Novel Panel has been advised of the possibility of such damages.
14.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVEL PANEL’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE, YOUR ACCOUNT, YOUR PURCHASES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) US$100; OR
(B) THE AMOUNT YOU PAID TO NOVEL PANEL DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.4 New Jersey Residents
The exclusions and limitations in this Section do not apply to the extent prohibited by applicable New Jersey law.
With respect to New Jersey residents, Novel Panel will not be liable for damages unless those damages result from Novel Panel’s negligent, reckless, or intentional acts or omissions, as applicable under New Jersey law.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND NOVEL PANEL TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION. IT ALSO WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING.
15.1 Claims
This Section applies to any dispute, claim, or controversy between you and Novel Panel arising from or relating to the Site, your account, a purchase, a product, a service, or these Terms collectively referred to as a “Claim.”
This Section does not apply to:
(a) Claims exclusively concerning intellectual-property rights; or
(b) Claims properly filed in a court of competent jurisdiction that qualifies as a small-claims court.
15.2 Informal Resolution
Before initiating arbitration, the party asserting a Claim must send written notice to the other party describing the nature and basis of the Claim and the relief requested.
Notices to Novel Panel must be emailed to hello@novelpanel.com with “Attention: Legal” included in the subject line or message.
The parties will attempt in good faith to resolve the Claim for 60 days following receipt of the notice. The applicable statute of limitations will be tolled during this informal-resolution period.
15.3 Binding Individual Arbitration
Claims not resolved through the informal-resolution process will be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules and pursuant to the Federal Arbitration Act (“FAA”), 9 U.S.C. § 1 et seq.
The arbitrator will have authority to resolve procedural and substantive issues, including issues concerning the interpretation, applicability, enforceability, and formation of this arbitration agreement.
The arbitrator may award only relief that is individual to the parties involved in the arbitration. Judgment on the arbitration award may be entered in any court having jurisdiction.
15.4 Class Action Waiver
Arbitration will be conducted only on an individual basis.
Neither party may bring or participate in a Claim as a plaintiff, claimant, or class member in a class action, class arbitration, consolidated action, private-attorney-general action, or other representative proceeding.
If this class-action waiver is determined to be unenforceable with respect to a particular Claim, the agreement to arbitrate that Claim will be void, and the Claim will proceed in accordance with Section 16.
15.5 Arbitration Fees
To the extent that the initial filing fee required for consumer arbitration exceeds the initial filing fee that would be required to file the Claim in court, Novel Panel will pay the difference.
All other fees and costs will be allocated in accordance with the applicable AAA rules and applicable law.
15.6 Right to Opt Out
You may opt out of the arbitration provisions in this Section by emailing hello@novelpanel.com within 30 days after first agreeing to these Terms.
Your notice must include:
(a) your full name;
(b) your contact information;
(c) the email address associated with your account, if applicable; and
(d) a clear statement that you are opting out of the arbitration agreement.
The notice should include “Attention: Legal — Arbitration Opt-Out” in the subject line or message.
If you do not submit a timely opt-out notice, you will be bound by this Section.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles, except to the extent federal law applies.
Any Claim that is not subject to arbitration and is not properly brought in small-claims court will be resolved exclusively in the state or federal courts located in Fulton County, Georgia.
You and Novel Panel consent to the personal jurisdiction of those courts and waive any objection based on venue or an inconvenient forum.
17. Severability and Waiver
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and will be ineffective only to the extent of the invalidity, illegality, or unenforceability.
The remaining provisions will remain in full force and effect.
Novel Panel’s failure to enforce any right or provision does not waive its right to enforce it later.

Copyright and DMCA notices should be sent to hello@novelpanel.com with “Attention: Copyright Agent” included in the subject line or message.
19. Entire Agreement
These Terms and all policies and documents incorporated into them constitute the entire agreement between you and Novel Panel concerning your use of the Site and supersede prior or contemporaneous statements, communications, representations, or agreements concerning the same subject matter.
Section headings are provided for convenience only and do not affect interpretation.
The words “include,” “includes,” and “including” mean “including without limitation.”
20. Modifications to These Terms
Novel Panel may revise these Terms at any time by posting an updated version on the Site.
Unless otherwise stated, revisions become effective when posted. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms.
The “Last revised” date at the beginning of these Terms identifies the date of the most recent revision.
